1. Eligibility & Qualifying Businesses

The Dino's Palms Pro Program ("Pro Program") is exclusively available to legitimate, actively operating businesses in the landscaping, construction, property management, and related industries. By applying, you represent and warrant that you are authorized to act on behalf of the business entity you register.

Qualifying business types include:

• Licensed landscapers and landscape maintenance companies
• Landscape designers and landscape architecture firms
• General contractors and construction companies
• Property management companies
• Homeowners associations (HOAs) and community associations
• Real estate developers
• Municipal, county, and government agencies
• Nurseries, garden centers, and plant resellers
• Hotels, resorts, and commercial property owners purchasing for their own grounds
• Schools, churches, and nonprofit organizations purchasing for their own properties

Individual consumers, hobbyists, and non-business buyers do not qualify. Dino's Palms reserves the sole right to determine eligibility at any time.

2. Account Approval & Verification

All Pro accounts are activated instantly upon registration; however, every account is subject to manual review and verification. Dino's Palms reserves the right to request proof of business legitimacy at any time, including but not limited to:

• Business license or contractor's license
• State registration or articles of incorporation
• Active company website or social media presence demonstrating business operations
• Proof of insurance (general liability, workers' compensation)
• References or evidence of active projects

Failure to provide requested documentation within 14 days may result in account suspension or termination.

3. Account Suspension & Termination

Dino's Palms reserves the right to suspend, restrict, or permanently terminate any Pro account at its sole discretion, with or without notice, for any reason including but not limited to:

• The account holder is not a qualifying, legitimate business
• Providing false, misleading, or fraudulent information during registration or at any time
• Reselling products purchased at Pro pricing to retail consumers at or below our retail price
• Abuse of bulk discount tiers, including artificially splitting or inflating orders
• Chargebacks, payment fraud, or repeated failure to pay invoices on time
• Violation of any terms in this agreement
• Abusive or threatening behavior toward Dino's Palms staff
• Any activity that Dino's Palms determines, in its sole discretion, is harmful to the business

Upon termination, Pro pricing is immediately revoked. Any pending orders may be cancelled or adjusted to retail pricing. Unpaid balances remain due and payable in full.

4. Pricing & Discounts

Pro pricing is exclusive to approved Pro accounts and is not available to the general public. Prices are subject to change at any time without prior notice. Dino's Palms makes every effort to keep prices accurate; however, pricing errors may occur and Dino's Palms reserves the right to correct any errors and cancel or adjust affected orders.

• Pro Base Pricing: Exclusive wholesale prices available to all approved Pro members.
• Bulk Volume Discounts: Additional per-unit discounts applied automatically based on quantity tiers. Tiers, percentages, and caps may be adjusted at any time.
• Order Value Discounts: Flat discounts applied to qualifying order subtotals. Thresholds and amounts may change.
• Pro ELITE: An enhanced discount tier earned through cumulative purchasing or available via subscription. ELITE status and its associated discounts may be modified, suspended, or discontinued at any time.

Discounts are intended for legitimate business use. Any attempt to exploit, game, or manipulate the discount system may result in order cancellation and account termination.

5. Minimum Order & Payment Terms

Pro accounts are subject to a minimum order value per transaction as displayed at checkout. Orders below the minimum will not be processed at Pro pricing.

Payment is due at the time of order unless the account has been approved for net payment terms (Net 15 or Net 30). Net terms are granted at Dino's Palms' sole discretion and may be revoked at any time. Late payments are subject to a 1.5% monthly finance charge (18% annually) on the outstanding balance. Accounts with overdue invoices may be suspended until the balance is paid in full.

6. Tax Exemption

If your business is tax-exempt, you may provide a valid tax exemption certificate during or after registration. Tax-exempt status will not be applied until the certificate has been reviewed and approved by Dino's Palms. You are responsible for ensuring your certificate remains valid and current. Dino's Palms is not responsible for taxes charged on orders placed before your exemption is approved.

7. Orders, Delivery & Returns

• Order Acceptance: All orders are subject to availability and acceptance by Dino's Palms. We reserve the right to refuse or cancel any order for any reason.
• Delivery: Delivery dates are estimates and not guaranteed. Dino's Palms is not liable for delays caused by weather, supplier shortages, transportation issues, or other circumstances beyond our control.
• Inspection: You must inspect all deliveries upon arrival. Claims for damaged, missing, or incorrect items must be reported within 24 hours of delivery with photographic evidence. Items not reported within this window are considered accepted.
• Returns: Due to the perishable nature of live plants, all sales are final unless the product arrives dead, severely damaged, or materially different from what was ordered. Approved returns or replacements are at Dino's Palms' sole discretion.
• Plant Health: Dino's Palms guarantees plants are healthy at the time of delivery. We are not responsible for plant health after delivery, including damage caused by improper planting, irrigation, weather events, pest infestations, or neglect.

8. Intellectual Property

All content on the Dino's Palms website — including logos, images, product descriptions, pricing structures, and proprietary tools — is the property of Dino's Palms and may not be reproduced, distributed, or used without written permission. Pro pricing information is confidential and may not be shared publicly or with non-Pro third parties.

9. Privacy & Data

By creating a Pro account, you consent to Dino's Palms collecting, storing, and processing the following information for account management, order fulfillment, and communication purposes:

• Name, email address, phone number, and business address
• Company name, type, website, and tax exemption details
• Order history, payment information, and delivery preferences
• Website usage data, session information, and browsing behavior

Dino's Palms will not sell your personal information to third parties. We may share data with trusted service providers (payment processors, delivery partners, email services) as necessary to operate the business. We may also use anonymized, aggregated data for analytics and business improvement.

You may request a copy of your data or request deletion by contacting us. Account deletion will result in loss of Pro status, order history access, and any ELITE progress.

10. Communication & Marketing

By registering for a Pro account, you agree to receive transactional emails related to your orders, account status, and Pro program updates. You may also receive promotional communications about new products, seasonal availability, and special offers. You can opt out of marketing emails at any time via the unsubscribe link in each email; transactional and account-related communications cannot be opted out of while your account is active.

11. Limitation of Liability

To the maximum extent permitted by law, Dino's Palms, its owners, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, revenue, business opportunities, or goodwill — arising from or related to your use of the Pro Program, any products purchased, or any delay or failure in delivery.

Dino's Palms' total liability for any claim arising under these terms shall not exceed the amount you paid for the specific order giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Dino's Palms, its owners, officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from your use of the Pro Program, breach of these terms, or violation of any applicable law.

13. Dispute Resolution

Any disputes arising from these terms or your use of the Pro Program shall be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to binding arbitration in Palm Beach County, Florida, under the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

These terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

14. Modifications

Dino's Palms reserves the right to modify these terms at any time. Material changes will be communicated via email or a notice on your Pro dashboard. Continued use of your Pro account after changes are posted constitutes acceptance of the updated terms.

15. Entire Agreement

These terms, together with any order confirmations and invoices, constitute the entire agreement between you and Dino's Palms regarding the Pro Program. No oral or written representations outside of this agreement shall be binding.
